PUBLIC OFFER AGREEMENT

This Public Offer Agreement (hereinafter referred to as the “Agreement”) is an official offer from Sole Proprietor Anastasiia Besedina, registered under EDRPOU 3305617822, acting as the official representative of the YaYu World brand (hereinafter referred to as the “Seller”), to enter into a purchase and sale agreement for goods with any legally capable individual or legal entity (hereinafter referred to as the “Buyer”) under the terms and conditions outlined below.

1. TERMS OF THE AGREEMENT

1.1. Website – the online resource available at yayuworld.com, which serves as the official sales channel for the YaYu brand, through which the Seller sells goods to Buyers.

1.2. Seller – the entity identified as the “Seller” in the preamble of this Agreement, offering goods for sale through the Website in accordance with the applicable laws of Ukraine.

1.3. Buyer – any legally capable individual, legal entity, or sole proprietor who has accepted the terms of this Agreement, placed an order, and paid for the goods.

1.4. Public Offer Agreement – this public contract posted on the Website, which constitutes the Seller’s offer to an indefinite number of persons to purchase goods.

1.5. Acceptance – full and unconditional acceptance of the Seller’s offer to purchase goods and the terms of this Agreement by clicking the “Place Order” button on the Website.

1.6. Goods – any item offered for sale on the Website, including its description, photographs, characteristics, and price.

1.7. Parties – the Buyer and the Seller, between whom this Agreement is concluded.

1.8. Delivery – a logistical service provided by the Seller or a third-party carrier (delivery service) for transporting goods to the Buyer under the terms specified in this Agreement and on the “Delivery and Payment” page of the Website.

1.9. Third Party – entities engaged by the Seller to fulfill its obligations under the Agreement, including but not limited to delivery services, banks, and payment systems.

1.10. Force Majeure – unforeseeable circumstances beyond the Parties’ control that make it impossible to fulfill obligations under this Agreement (detailed in the “Force Majeure” section).

1.11. Personal Data – any information provided by the Buyer when placing an order, including but not limited to name, surname, delivery address, contact phone number, and email address.

 

2. GENERAL PROVISIONS

2.1. This Agreement is a public offer in accordance with Articles 633 and 641 of the Civil Code of Ukraine and other applicable legal acts regulating e-commerce relationships.

2.2. The Seller posts this Agreement on yayuworld.com as an offer to an indefinite number of persons to enter into a purchase and sale agreement for goods under the terms set forth herein.

2.3. The terms of this Agreement apply equally to all Buyers, regardless of their status (individual, legal entity, or sole proprietor), race, gender, social and financial status, age, or health condition. Discrimination against Buyers on any grounds is prohibited. However, certain order placement, payment, and delivery conditions may vary depending on the Buyer’s tax status and applicable legal requirements.

2.4. This Agreement governs the terms of purchase, delivery, payment, returns, warranty, and other aspects of the relationship between the Seller and the Buyer.

2.5. The Buyer’s acceptance of this Agreement is confirmed by clicking the “Place Order” button on the Website. This action signifies mutual agreement to all essential terms of this Agreement.

2.6. Upon the Buyer’s acceptance of this Agreement:

The legal relationship between the Parties is considered established.

The Agreement becomes effective and remains in force until the Parties fully fulfill their obligations.

2.7. All terms of this Agreement are binding for the Parties. The Agreement version applicable to each order is the one in effect at the time of order placement. The Seller reserves the right to amend this Agreement unilaterally, with changes taking effect upon publication on the Website and applying to all orders placed thereafter.

2.8. The Seller ensures that the current version of this Agreement is always accessible on the Website for the Buyer’s review.

2.9. Information about the goods on the Website, including descriptions, characteristics, prices, and photographs, is for informational purposes only and may be modified by the Seller at any time.

2.10. Product photographs on the Website are for illustration purposes only and do not guarantee an exact match with the delivered product. Handcrafted items may have slight variations in shape, color, size, texture, or other details compared to the images displayed on the Website. These variations are not considered defects or non-compliance but rather a sign of uniqueness and craftsmanship. By placing an order, the Buyer acknowledges and agrees to these characteristics.

3. SUBJECT OF THE AGREEMENT

3.1. The subject of this Agreement is the Seller’s obligation to transfer ownership of the selected goods to the Buyer, and the Buyer’s obligation to accept and pay for the goods under the terms specified in this Agreement.

3.2. The Seller guarantees that:

The goods are new, free of hidden defects, and match the specifications provided on the Website.

The goods are not pledged, encumbered, or subject to third-party claims.

The Seller has the legal right to sell the goods through the Website in accordance with Ukrainian law.

3.3. The Buyer independently selects the goods from the assortment available on the Website. Under this Agreement, the Buyer is entitled to order and purchase goods whose assortment, quantity, and price are determined at the time of order placement.

3.4. Ownership of the goods transfers to the Buyer upon receipt, provided full payment has been made. The risk of accidental loss or damage to the goods transfers to the Buyer at the moment of ownership transfer.

 

4. ORDER PLACEMENT PROCEDURE

4.1. The Buyer independently places an order on the Website, selecting the desired goods, quantity, delivery method, and payment option before completing the purchase by clicking the “Place Order” button.

4.2. Orders are fulfilled based on product availability. If the selected item is out of stock, the Seller will notify the Buyer as soon as possible and offer alternatives such as:

Replacing the item with a similar product.

Waiting for the item to become available.

Cancelling the order and receiving a refund (if prepayment was made).

4.3. If an item is out of stock but available for pre-order, the production time may take 4 to 8 weeks. By placing a pre-order, the Buyer agrees to these production timelines.

4.4. The Buyer receives an order confirmation via email or another acceptable method.

4.5. The Seller reserves the right to refuse order fulfillment in the following cases:

The Buyer provided incorrect or incomplete information.

Technical errors prevent order processing.

4.6. The order is considered accepted for fulfillment upon confirmation from the Seller.

 

5. PRICING & PAYMENT TERMS

5.1. All prices on the Website are listed in EUR.

5.2. The cost of delivery is included in the product price, meaning no additional shipping fees are required.

5.3. The Seller reserves the right to change product prices. However, price changes do not affect confirmed orders unless a pricing error occurred due to technical issues. In such cases, the Buyer may choose to:

Confirm the order at the correct price.

Cancel the order and receive a refund.

5.4. Orders must be fully prepaid before processing.

5.5. Payment can be made via Visa, MasterCard, or other payment methods available on the Website.

5.6. The order is considered paid once the funds are credited to the Seller’s account. If a payment fails, the Buyer must retry the transaction or select another payment method.
